Terms and Conditions – UmbroIndustries.com (“the competition”)
1. The Competition
a) Entrants to the competition (“entrants”) are bound by the entry instructions as published on [www.umbroindustries.com] and these terms and conditions, which may be varied from time to time.
b) The competition will run from [22 June 2009] and will conclude once suitable winners have been found or otherwise at Umbro’s discretion.
2. The Promoter
The promoter of the competition is Umbro International Limited whose registered office is Umbro House, Lakeside, Cheadle, Cheshire SK8 3GQ.
3. The Prize
a) The prize consists of a bursary award used to develop, market, promote or otherwise assist new creative talent in and around Manchester (the “prize”).
b) No cash alternative will be offered and this prize is not transferable to any other person.
c) No other expenses incurred to, from or during the competition will be paid.
d) In the event of unforeseen circumstances Umbro reserves the right to offer an alternative prize of equal or greater value.
4. Entry Conditions
a) To enter the competition entrants must visit [www.umbroindustries.com] and submit their online entry form as required.
b) Entrant warrants that information submitted in the online entry form (and any other information supplied to Umbro or any other third party in relation to the competition) is provided truthfully and accurately.
c) All entrants under the age of 18 must be accompanied by their parent or guardian at the competition and associated activities or events.
d) Incomplete or illegible entries, or those which are not in accordance with the entry instructions will be invalid.
e) Information provided by entrants in the online entry form (and any other information provided by entrant to Umbro or any other third party in relation to the competition) may be used by Umbro.
f) Umbro and other associated parties may photograph or film at the competition and associated activities or events for advertising, promotional or other commercial purposes. Entrant hereby consents and agrees that photographs, film and video may be taken whilst participating in the competition and associated activities or events. Entrant irrevocably grants Umbro, its subsidiaries and third party commercial partners the right (and, where necessary a royalty free licence) in perpetuity and throughout the world, without any expectation of compensation, to use entrant’s photograph, music, video or film portrayal, image, likeness and voice in any media, including, but not limited to, television, the internet, product catalogues and brochures, point-of-purchase videos and displays, and any other printed or written material in connection therewith, for the purpose of advertising, promoting, marketing, and selling Umbro products or promoting the competition.
g) No drugs or illegal substances of any kind are permitted to be used by any entrant. Umbro reserves the right to disqualify any entrant found to have consumed or to have in their possession any drugs or illegal substances of any kind.
h) Participation in the competition is at the entrant’s own risk. The entrant irrevocably agrees to hold harmless, indemnify and reimburse Umbro from and for any sum, costs or expenses (including legal and professional fees) incurred, payable or paid by Umbro to any person (including the entrant and/or any of the entrant’s insurers) in connection with any accident, loss, damage or injury (including death) arising out of the entrant’s attendance at and participation in the competition or any part thereof (except where any such injury or death is caused by the negligence of Umbro or any of its employees).
i) The entrant confirms that they will not publish or post to any website or other media operated by Umbro or related to the competition any text, statement, photograph, image or other material which is obscene, blasphemous, defamatory, infringes the intellectual property or other legal rights of any third party or is otherwise unlawful, offensive or inappropriate. Umbro will have the right to remove any material at its discretion and take appropriate legal action against any person found to be or alleged to be in breach of this clause 4(i).
j) The terms “Umbro” is a registered trade mark and entrant acknowledges and agrees that the trademark cannot be copied or used in any way without the prior written consent of Umbro.
k) The entrant agrees at all times whilst they attend the competition and associated activities or events to abide by the reasonable directions of Umbro, its staff or contractors and to behave appropriately.
5. Notification of Winner and distribution of the prize
a) The winners of the competition will be those entrant(s) whose are deemed to be the best or most suitable receipts of the prize by a panel of independent adjudicators. The adjudicator’s decision is final and no correspondence will be entered into other than with the winners. The prize will be allocated by and under the guidance of the adjudicators and the winners’ input will be encouraged in respect of the allocation process to ensure that the prize is put to optimum use. The prize will used to pay third parties (such as recording studios, website developers) for services provided to the winners of this competition. Unless there are exceptional circumstances, the prize may not be paid directly to the winners.
b) The winner’s names will be available on request from Umbro after the competition has been concluded.
c) The winners will be notified if they have been successful.
d) Winners will be required to enter in further contracts with Umbro which will deal with the allocation and distribution of the prize fund and other associated rights.
6. Eligibility
a) This competition is open to all United Kingdom residents.
b) The following persons are not eligible to enter the competition: (i) employees of any business involved or associated with the competition (including Umbro and its associated companies) and (ii) any such person’s family or household members. Umbro reserves the right to verify the eligibility of all entrants.
7. Data Protection and Privacy
All information relating to entrants collected by or on behalf of Umbro from which each entrant can be identified will be recorded electronically and will be used at all times in accordance with the Data Protection Act 1998. Umbro will not disclose any such information to third parties (aside from Umbro’s commercial partners in relation to this competition), save as expressly stated under these terms and conditions.
8. Jurisdiction
These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales and the courts of England shall have exclusive jurisdiction in relation to any dispute arising therefrom.
